soul dept. Affiliate Program – Terms & Conditions

These Terms & Conditions (“Terms”) govern participation in the soul dept. Affiliate Program (“Affiliate Program”).

By registering for and participating in the Affiliate Program, you (“Affiliate”) agree to these Terms.

1. The Affiliate Program

The soul dept. Affiliate Program allows approved Affiliates to earn commission by referring customers to soul dept. through their unique affiliate link and/or other tracking methods provided through the affiliate dashboard.

Participation in the Affiliate Program is subject to approval. We reserve the right to accept or reject applications at our discretion.

2. Affiliate Links & Tracking

Each Affiliate receives a unique referral link.

For a sale to qualify for commission, the purchase must be successfully attributed to the Affiliate through our affiliate tracking system.

Affiliate tracking relies on cookies and other technical tracking methods. We cannot guarantee attribution where, for example, a customer deletes or blocks cookies, changes devices or browsers, uses another Affiliate's link, or otherwise prevents successful tracking.

The data recorded by our affiliate platform will generally be used to determine whether a transaction qualifies for commission.

3. Commission

Affiliates earn the commission rate displayed in their affiliate dashboard or otherwise agreed with soul dept.

Commission is calculated on eligible, successfully completed orders attributed to the Affiliate.

Unless otherwise stated, commission is calculated on the eligible product/order value and excludes shipping charges, taxes, refunds, chargebacks, cancellations and other amounts that are not ultimately retained from the sale.

Commission rates may be changed for future referrals. Any individual commission arrangement agreed separately in writing will take precedence.

4. Returns, Refunds & Cancelled Orders

Commission is not payable on orders that are cancelled, refunded, returned, charged back, fraudulent or otherwise reversed.

If commission has already been credited for such an order, the corresponding amount may be deducted from the Affiliate's balance or future commissions.

5. Payouts & 100,-€ Minimum

Affiliate commissions become eligible for payout once the Affiliate's accumulated payable commission balance reaches 100€.

Payment can only be processed once we have received a complete and legally valid invoice and any payment information reasonably required to make the transfer.

Commission balances below 100,-€ will normally remain in the Affiliate account and roll over until the minimum payout threshold is reached.

6. Invoice Requirements

Affiliates are responsible for ensuring that their invoices comply with the tax and invoicing laws applicable to them.

Where applicable, invoices should include:

  • Affiliate's full legal name or registered business name

  • Billing address

  • Tax identification and/or VAT number

  • Unique invoice number

  • Invoice date

  • Description of the affiliate commission

  • Commission amount

  • Applicable VAT or other taxes, where legally required

  • Total amount due

  • Payment/bank details required to process the payment

Where VAT is not applicable, the Affiliate is responsible for applying the appropriate tax treatment and including any legally required wording on the invoice.

7. Taxes & Legal Responsibilities

Affiliates participate in the program as independent parties and are responsible for complying with the laws, tax rules and registration requirements applicable to their affiliate activity.

This includes, where applicable, income tax, VAT, self-employment registration, social security contributions, business registration and invoicing obligations.

The Frosali Group SL does not provide individual tax advice and is not responsible for an Affiliate's personal or business tax obligations.

Affiliates should seek professional tax advice in their country of residence or establishment if they are unsure how their affiliate income should be treated.

8. Independent Relationship

Participation in the Affiliate Program does not create an employment relationship, partnership, joint venture, agency, franchise or other similar relationship between the Affiliate and The Frosali Group SL.

Affiliates act independently and are responsible for their own activities, expenses, taxes and legal obligations.

Affiliates do not have authority to enter into agreements, make commitments or create obligations on behalf of soul dept. or The Frosali Group SL.

9. Promotion of soul dept.

We want Affiliates to share soul dept. authentically and responsibly.

Affiliates may promote soul dept. through their own websites, social media accounts, newsletters, communities and other appropriate channels, provided their promotion complies with these Terms and applicable law.

Affiliates may not:

  • Make false, misleading or unsubstantiated claims about soul dept. or its products.

  • Misrepresent themselves as soul dept., The Frosali Group SL or an official employee or representative of the company.

  • Use deceptive, fraudulent or misleading marketing practices.

  • Send unsolicited bulk messages, spam or other communications that violate applicable marketing or privacy laws.

  • Use their affiliate link on illegal, discriminatory, hateful, sexually explicit or otherwise inappropriate content.

  • Create fake accounts, fake purchases or other artificial transactions to generate commission.

  • Purchase through their own affiliate link for the primary purpose of generating commission, unless expressly permitted by us.

  • Interfere with or attempt to manipulate the affiliate tracking system.

  • Use another person's identity or information to generate referrals.

  • Make promises regarding prices, discounts, shipping times, product availability or company policies that have not been authorized by soul dept.

10. Paid Advertising & Brand Keywords

Affiliates may not run paid search advertising using the terms “soul dept.”, “souldept”, our domain name, or confusingly similar variations as targeted keywords without our prior written permission.

Affiliates may not create advertisements, domains, social media usernames, pages or profiles that could reasonably make users believe they are operated directly by soul dept.

Direct linking from paid advertisements to our website using an affiliate link requires our prior written approval.

11. Discount Codes

Affiliates may only promote discount codes that have been officially provided or approved by soul dept.

Publishing unauthorized codes, expired codes or codes obtained from third-party coupon websites may result in the corresponding commissions being rejected.

Affiliate codes must not be presented in a misleading way.

12. Affiliate Disclosure

Affiliates must clearly disclose their commercial relationship with soul dept. whenever required by applicable advertising, consumer protection or influencer marketing laws.

The disclosure should be clear, easy to understand and sufficiently visible to the audience.

Affiliates are responsible for understanding and complying with the disclosure requirements applicable in the countries and platforms where they promote soul dept.

13. Intellectual Property

All soul dept. trademarks, logos, product images, graphics, copy and other brand materials remain the intellectual property of The Frosali Group SL or their respective rights holders.

Affiliates receive a limited, non-exclusive, non-transferable and revocable permission to use approved soul dept. brand materials solely for the purpose of promoting soul dept. as part of the Affiliate Program.

Brand materials may not be materially altered, sold, sublicensed or used to create products or services without prior written permission.

14. Content Created by Affiliates

Affiliates retain ownership of original content they create unless otherwise agreed.

Participation in the Affiliate Program does not automatically transfer ownership of an Affiliate's photographs, videos or other original content to soul dept.

If we wish to use Affiliate-created content outside functionality inherently provided by the social platform, we may request permission or agree separate usage rights where appropriate.

15. Fraud & Abuse

We reserve the right to investigate referrals, transactions and Affiliate activity where we reasonably suspect fraud, manipulation, abuse or violation of these Terms.

Commissions associated with fraudulent, manipulated or otherwise ineligible activity may be rejected or cancelled.

Serious or repeated violations may result in immediate termination from the Affiliate Program.

16. Suspension & Termination

Either party may end participation in the Affiliate Program at any time.

We may suspend or terminate an Affiliate account immediately if we reasonably believe that the Affiliate has violated these Terms, engaged in fraudulent activity, damaged the soul dept. brand, or acted unlawfully.

Legitimately earned and payable commissions accrued before termination will normally remain payable, subject to the €100 payout threshold, verification of eligible transactions and receipt of a valid invoice.

Commissions arising from fraud, manipulation or violations of these Terms may be cancelled.

17. Changes to the Program

We may update these Terms, commission rates, payout procedures or other aspects of the Affiliate Program from time to time.

Material changes will apply prospectively and may be communicated through the Affiliate dashboard, email or another reasonable method.

Continued participation in the Affiliate Program after updated Terms become effective constitutes acceptance of the updated Terms.

18. Availability of the Affiliate Program

We do not guarantee that the Affiliate Program, dashboard, tracking technology or referral links will always be available without interruption or technical errors.

To the extent permitted by law, The Frosali Group SL is not responsible for commissions that cannot reasonably be attributed due to circumstances outside our control, including technical failures or tracking prevention.

Nothing in these Terms limits liability where such limitation would be prohibited by applicable law.

19. Data Protection

Personal data collected in connection with the Affiliate Program will be processed in accordance with applicable data protection laws, including the GDPR where applicable, and our relevant privacy information.

Affiliates are independently responsible for complying with applicable privacy and data protection requirements in relation to any personal data they process as part of their promotional activities.

20. Governing Law

These Terms are governed by the laws of Spain.

Unless mandatory law provides otherwise, any dispute arising from or relating to the Affiliate Program or these Terms will be subject to the jurisdiction of the competent courts in Palma de Mallorca, Spain.
